Organigram Accelerates Sanity Integration After German Business Tops 35% of Revenue
Organigram Global Inc. (NASDAQ: OGI; TSX: OGI) is accelerating the integration of Germany’s Sanity Group, bringing its Canadian production and European commercial operations under a unified structure as the company pushes deeper into international cannabis markets.
The move comes with Sanity already representing a significant part of Organigram’s business. Sanity contributed approximately C$40 million in Organigram’s most recent quarter, accounting for more than 35% of consolidated net revenue, and was accretive to adjusted EBITDA. Its quarterly revenue has increased 34% since Dec. 31, 2025, reaching €25.5 million.
Organigram acquired Sanity to establish a major foothold in Germany, but the platform is becoming considerably broader. The combined supply and commercial network will span Canada, Germany, Switzerland, Poland, Czechia, the United Kingdom and Australia.
Organigram already ships bulk cannabis from Canada to Germany, Australia and the U.K., while Sanity provides the European regulatory, distribution and commercial infrastructure. Combining the businesses is intended to make it easier to move Canadian production into international markets, launch products across countries and expand margins through a unified supply chain.
Organigram Changes the Sanity Deal
Accelerating the integration required Organigram to amend the original acquisition agreement, which called for Sanity to operate independently during a 12-month earnout period.
Instead of maintaining the performance-based earnout, Organigram has now fixed it at 85% of the maximum value contemplated under the original deal.
The remaining consideration consists of €20 million in cash and approximately €76 million in Organigram shares, after accounting for Organigram’s pre-acquisition interests and other deductions.
The stock portion will be calculated using Organigram’s 20-day VWAP, subject to a C$3 floor and C$4 cap, with the consideration becoming payable April 1, 2027, and payment completed no later than May 1.
Management says Sanity’s performance gave it confidence to remove the uncertainty surrounding the earnout and integrate the businesses sooner.
“Sanity has performed strongly since the acquisition, and its continued momentum reinforces our confidence in the growth trajectory of the business,” Organigram Chairman Peter Amirault said.
Building Beyond Canada
The organizational changes reinforce that international expansion is becoming a central part of Organigram’s strategy.
Sanity co-founder Finn Age Hänsel becomes President, Rest of World & Chief Strategy Officer, responsible for international development, partnerships and bringing Organigram products and intellectual property into additional markets. Sanity COO Adrian Frenzel becomes Global Chief Operating Officer, while Tim Emberg remains President, Canada.
Germany remains the centerpiece. Organigram cited a German medical cannabis market worth more than €2 billion in 2025 and projected to surpass €4 billion by 2028. Sanity is also established in Switzerland and expanding into Poland, the U.K., and Czechia.
The strategy increasingly connects two sides of the cannabis supply chain: scaled Canadian production and European distribution and patient markets.
With Sanity already generating more than a third of quarterly revenue, Organigram is no longer treating that international business as an adjacent investment. It is becoming a core part of the company.
