Cannabis Giant Trulieve Moves To Delaware As Federal Reform Momentum Builds

Trulieve Cannabis Corp. (CSE: TRUL) (OTCQX: TCNNF) is eyeing corporate domestication from British Columbia, Canada, to Delaware, U.S. The Tallahassee-based company revealed its intention to seek shareholder approval earlier this month.

Why It Matters

With the move, Trulieve is looking to align its corporate structure with its U.S. operations and advance its strategic objectives.

Trulieve stated in a press release dated May 13 that the domestication is not expected to impact its business operations materially.

While moving to Delaware can be seen as part of Trulieve’s further U.S. market integration, it can also be seen as its push to strengthen corporate flexibility. This would make the company more appealing to U.S. institutional investors over time.

Having in mind recent cannabis regulatory shifts on the federal level, Trulieve’s move can also signal positioning for eventual U.S. cannabis reform.

Shareholders are scheduled to vote on the proposal at a special meeting on Aug. 5, 2026.

Before that, a proxy statement with detailed information related to the proposed Delaware Domestication will be filed by the company with the U.S. Securities and Exchange Commission and in Canada on SEDAR+ shortly after the record date of June 8, 2026.

Completion is subject to shareholder, court, regulatory, and customary approvals.

Q1 2026 Earnings Highlights

Trulieve recently reported a revenue drop in the first quarter of 2026 of 4% year-over-year and 2% sequentially to $287 million.

Gross profit declined 7% year-over-year to $170 million, while gross margin narrowed to 59% from 62% a year earlier.

Adjusted EBITDA dropped 8% year-over-year to $100 million, while operating expenses improved 10% year-over-year and 16% quarter-over-quarter to $134 million.

The company returned to profitability, reporting net income of $2 million, compared to a $33 million net loss in the first quarter of 2025.

Trulieve’s shares traded 4.05% lower at $7.57 per share at the time of writing on Friday.
